• Our trademarks, logos, and brand assets cannot be reused without consent.

3. User Accounts & Access

For IoT monitoring, analytics platforms, or client dashboards, users must provide accurate information and maintain account confidentiality. Any unauthorized access or misuse may result in suspension.

4. Prohibited Activities

Users may not engage in behavior that harms our platform, services, or reputation.

Your use of our website, IoT platforms, dashboards, and services is also governed by our Privacy Policy, which explains how we collect, use, store, and protect personal and operational data.

All Energy Audits, Water Audits, Thermography studies, and IoT insights are prepared using industry best practices. However, results depend on site data, equipment health, sensor accuracy, and environmental conditions.

• Audit recommendations depend on client implementation and maintenance.
• Savings projections are estimates, not guaranteed values.

We are not liable for indirect, incidental, or consequential damages arising from the use of our services. Our maximum liability shall not exceed the service fee paid for the project.

9. Anti-Bribery & Anti-Corruption Policy

Navy Blue Energy Labs is committed to conducting its business ethically, transparently, and in full compliance with all applicable anti-bribery and anti-corruption laws, including the Prevention of Corruption Act, 1988 and other relevant Indian regulations.

• No employee, director, consultant, agent, or representative shall offer, promise, give, request, or accept any bribe, kickback, facilitation payment, or improper benefit.
• This prohibition applies to interactions with government officials, private entities, clients, vendors, contractors, and any third parties.
• Improper benefits include cash, gifts, hospitality, favors, commissions, employment offers, or any item of value intended to influence business decisions.
• Third parties engaged on behalf of Navy Blue Energy Labs must comply with this policy.

Clients, partners, and vendors are expected to report any suspected bribery or unethical conduct related to Navy Blue Energy Labs immediately.

10. Payment Terms & Taxes

All commercial terms including pricing, payment milestones, and deliverables shall be defined in the applicable proposal, quotation, or work order issued by Navy Blue Energy Labs.

• All fees are exclusive of applicable taxes, including GST, unless stated otherwise.
• Invoices must be paid within the agreed credit period mentioned in the proposal.
• Delayed payments may attract interest as per applicable law or agreed terms.
• Navy Blue Energy Labs reserves the right to suspend services for non-payment.

11. Indemnification

You agree to indemnify and hold Navy Blue Energy Labs harmless from any claims, damages, losses, liabilities, or expenses arising out of misuse of services, violation of these Terms, or non-compliance with applicable laws.

12. Force Majeure

Navy Blue Energy Labs shall not be liable for delay or failure in performance caused by events beyond reasonable control.

• Natural disasters, floods, earthquakes
• Government orders or regulatory changes
• Pandemics, epidemics, or lockdowns
• Power, internet, or infrastructure failures

13. Non-Solicitation

Clients shall not directly or indirectly solicit, hire, or engage any employee, consultant, or contractor of Navy Blue Energy Labs during the engagement and for twelve (12) months thereafter.

14. Termination of Services

Navy Blue Energy Labs reserves the right to suspend or terminate services, including access to dashboards and reports, in case of breach of Terms, non-payment, or misuse of services.

15. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.

16. Entire Agreement & Severability

These Terms, together with proposals, work orders, and service agreements, constitute the entire agreement between the parties.

If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Updates to Terms

Navy Blue Energy Labs may revise these Terms at any time. Updated Terms will be posted on this page with a revised “Last Updated” date.
